Important Notice - Nurses Platform Only
These Terms of Service apply exclusively to the Roam Health for Nurses platform (nurses.roamhealth.co.uk). The Roam Health for Doctors platform operates under separate Terms & Conditions due to different service models and fee structures.
By using the Roam Health for Nurses Platform, you agree to be bound by these Terms of Service. Please read them carefully.
For Employers: Please pay special attention to Sections 6 (Fees), 7 (Anti-Circumvention), 8 (Employer Responsibility), and 9 (Information Accuracy).
1. INTRODUCTION AND ACCEPTANCE
1.1 About Roam Health
Roam Health ("Roam", "we", "us", or "our") operates a reverse marketplace platform connecting qualified nurses with NHS trusts and private hospitals in the United Kingdom. The platform is owned and operated by Roam Health Limited, a company registered in England and Wales (Company number: 16772683).
1.2 Acceptance of Terms
By accessing or using the Roam Health for Nurses platform (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.
1.3 Who May Use the Platform
The Platform is intended for:
- Nurses: Qualified nursing professionals registered with the Nursing and Midwifery Council (NMC) seeking employment opportunities in the UK
- Employers: NHS trusts, private hospitals, and other healthcare organisations seeking to recruit qualified nurses
1.4 Changes to Terms
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date
- Send an email notification to all registered users at the email address provided during registration
- Post the updated Terms on the Platform
Your continued use of the Platform after such changes constitutes acceptance of the modified Terms. We recommend reviewing these Terms periodically.
2. DEFINITIONS
For the purposes of these Terms:
- "Candidate Information" means all information, data, and materials provided by a Nurse through the Platform.
- "Employer" means an NHS trust, private hospital, or other healthcare organisation registered on the Platform.
- "Match" means a connection facilitated by the Platform between a Nurse and an Employer that results in an employment contract being signed.
- "NMC" means the Nursing and Midwifery Council, the professional regulator for nurses and midwives in the UK.
- "Nurse" means a qualified nursing professional registered with the NMC who has created an account on the Platform.
- "Pre-Employment Information" means self-certified information provided by Nurses regarding their employment history, references, NMC registration, right to work, DBS status, and other pre-employment check details.
- "Successful Hire" means the signing of an employment contract between an Employer and a Nurse following an introduction made through the Platform, regardless of contract type, length, or whether employment ultimately commences.
3. SERVICES PROVIDED
3.1 Platform Services
Roam provides an online marketplace platform that:
For Nurses:
- Profile creation and hosting
- Job opportunity visibility
- Interview request management
- Communication tools with potential employers
- Optional sharing of Pre-Employment Information (subject to consent)
For Employers:
- Access to qualified nurse profiles
- Proprietary smart matching and filtering technology
- Interview request submission
- Communication tools with candidates
- Access to Candidate Information (subject to Platform rules and nurse consent)
3.2 NMC Verification (Matching Purposes Only)
Roam may verify NMC registration details (PIN, registration type, and status) provided by Nurses for the purpose of smart matching and platform functionality only. This verification:
- Is conducted to ensure accurate matching between Nurses and suitable opportunities
- Does NOT constitute a vetting service
- Does NOT replace an Employer's duty to independently verify NMC registration
- Is provided "as-is" with no guarantees regarding accuracy or completeness
3.3 Proprietary Technology
Our smart matching and filtering algorithms are proprietary technology developed by Roam Health Limited. Employers and Nurses agree not to reverse engineer, copy, or attempt to replicate this technology.
3.4 Limitations of Service
Roam does not:
- Guarantee job placements for Nurses
- Guarantee successful hires for Employers
- Act as an employer, recruiter, or staffing agency
- Conduct background checks, vetting, or verification of Candidate Information (except NMC verification for matching purposes)
- Provide legal, medical, or professional advice
- Manage the employment relationship between Nurses and Employers after contract signature
6. EMPLOYER FEES AND PAYMENT TERMS
6.1 Service Fee Structure
Employers agree to pay Roam a fixed fee of £2,000 (plus VAT if applicable) per Successful Hire facilitated through the Platform.
6.2 When Fees Become Due
The service fee becomes due and payable when:
- An employment contract is signed between the Employer and a Nurse
- The introduction leading to the contract was made through the Platform
This applies regardless of:
- Contract type (permanent, fixed-term, bank, or agency)
- Contract length or duration
- Whether the employment ultimately commences
- Whether the Nurse passes subsequent vetting or pre-employment checks
- Whether the Nurse attends their first day of work
6.3 Launch Offer - First Hire Free
Limited Time Promotional Offer:
- Each organisation's first Successful Hire through the Platform is free of charge
- This offer is limited to one free hire per organisation
Roam reserves the right to:
- Withdraw this offer at any time without prior notice
- Deny the offer if we suspect abuse, including:
- Creation of multiple accounts by the same organisation
- Minor variations in organisation name across separate accounts
- Any attempt to circumvent the one-per-organisation limitation
6.4 Payment Terms
- Payment is due within 14 days of the invoice date
- Invoices will be issued upon confirmation of contract signature
- Payment methods accepted: bank transfer, card payment via Stripe, or as otherwise agreed
- All fees are in British Pounds Sterling (GBP)
6.5 Late Payment
Late payments will incur:
- Interest at a rate of 8% above the Bank of England base rate per annum
- An administrative fee of £100 per week or part thereof that payment remains outstanding
These charges are in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
6.6 No Refunds
All fees are strictly non-refundable
This no-refund policy applies regardless of:
- Whether the employment ultimately commences
- Whether the Nurse fails subsequent vetting or pre-employment checks
- Whether the Nurse does not attend their first day of work
- Whether inaccuracies are discovered in Candidate Information
- Whether the Employer terminates the contract before the Nurse starts work
- Any post-contract issues or disputes between Employer and Nurse
Rationale: Roam's service is complete upon facilitating the introduction that leads to contract signature. The fee compensates Roam for providing the platform, matching technology, and facilitating the connection. Employers are responsible for all verification, vetting, and employment decisions.
6.7 VAT
- Fees quoted do not currently include VAT
- If Roam becomes VAT-registered in the future, VAT will be added to all fees at the prevailing rate
- Employers will be notified of VAT registration and provided with valid VAT invoices
6.8 Fee Changes
Roam reserves the right to change the service fee structure at any time. For Successful Hires occurring after a fee change, Roam will provide 30 days' written notice to all registered Employers via email before implementing any fee increase.
7. ANTI-CIRCUMVENTION
7.1 Obligation to Notify and Pay
If an Employer hires a Nurse:
- Within 12 months of first being introduced to that Nurse through the Platform
- Regardless of whether the hiring occurs through the Platform or outside of it
- Regardless of whether the Employer's Platform account is active at the time of hiring
The Employer must notify Roam within 7 days and pay the applicable service fee.
7.2 Monitoring and Enforcement
Roam may monitor for circumvention through:
- Platform activity tracking and interview progress monitoring
- Information sharing and communication alerts
- Follow-up communications with Nurses and Employers regarding employment status
- Review of publicly available information
- Nurse-initiated reporting
- Employer honesty and self-reporting in good faith
8. EMPLOYER RESPONSIBILITY AND VETTING
⚠️ Critical Healthcare Responsibility
Employers are solely and entirely responsible for all vetting, verification, and hiring decisions. Roam is a marketplace platform, not a vetting agency.
8.1 Employer's Sole Responsibility for Vetting
Employers are solely responsible for:
- Conducting all background checks, verification, and vetting
- Verifying all Candidate Information independently
- Checking NMC registration directly with the NMC
- Conducting right to work checks in accordance with UK law
- Obtaining and verifying DBS checks
- Verifying professional references by contacting referees directly
- Verifying employment history with previous employers
- Confirming educational qualifications
- Conducting occupational health assessments
- All hiring decisions and employment offers
- The entire employment relationship from contract signature onwards
8.2 No Reliance on Platform Information
Employers acknowledge and agree that:
- All Candidate Information is provided by Nurses on a self-certified basis
- Roam does NOT verify, validate, or guarantee the accuracy of any Candidate Information
- NMC verification conducted by Roam is for matching functionality only and does NOT replace the Employer's duty to verify
- Pre-Employment Information is provided "as-is" and must be independently verified
8.3 Post-Contract Independence
Everything that occurs after employment contract signature is between the Employer and the Nurse.
Roam has no involvement, responsibility, or liability for the employment relationship, workplace matters, the Nurse commencing employment, or any post-contract disputes.
9.1 Nurse-Provided Information
All Candidate Information on the Platform is:
- Provided by Nurses on a voluntary, self-certified basis
- Shared "as-is" without independent verification by Roam
- The responsibility of the providing Nurse for accuracy
- Subject to change without notice to Roam
9.2 Employer Obligation to Verify
Employers must verify all information independently before making hiring decisions, including employment history, professional references, educational qualifications, NMC registration, right to work status, DBS status, and any other self-certified pre-employment information.
9.3 No Guarantee of Accuracy
Roam makes no representations, warranties, or guarantees regarding the accuracy, completeness, currency, or veracity of any Candidate Information or the outcome of any Employer verification process.
9.4 Employer Reliance
Employers rely on Candidate Information entirely at their own risk. Roam is not liable for inaccurate, incomplete, or false information provided by Nurses, Employers' failure to conduct adequate verification, hiring decisions based on unverified information, or any consequences of employing a Nurse who provided false or misleading information.
12. LIABILITY AND INDEMNIFICATION
12.1 Limitation of Liability
To the fullest extent permitted by law, Roam shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages arising from Candidate Information inaccuracies
- Hiring decisions or employment relationships
- Nurse performance, conduct, or suitability
- Employer's failure to conduct adequate vetting
12.2 Maximum Liability Cap
Our total aggregate liability to you for all claims arising from your use of the Platform shall not exceed the fees paid by you (if an Employer) to Roam in the 12 months preceding the claim, or £100 (if a Nurse or if no fees have been paid).
12.3 Indemnification
You agree to indemnify, defend, and hold harmless Roam from any claims, damages, losses, and expenses (including legal fees) arising from:
- Your breach of these Terms
- Your use of the Platform
- Candidate Information you provide (if a Nurse)
- Your hiring decisions or employment relationships (if an Employer)
- Any false or misleading information you provide
13. DISPUTE RESOLUTION
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales.
13.2 Jurisdiction
You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

By using the Roam Health for Nurses Platform, you acknowledge that:
- You have read and understood these Terms of Service
- You agree to be bound by these Terms
- You understand that Roam is a marketplace platform, not a recruiter or vetting agency
- You accept sole responsibility for verification, vetting, and hiring decisions (if an Employer)
- You accept responsibility for the accuracy of all information you provide (if a Nurse)
- You understand that fees are non-refundable once a Successful Hire occurs
- You agree to act in good faith and comply with all applicable laws
